  • PressFixer Service Agreement

    This Service Agreement (the "Agreement") sets forth the terms under which Welma Inc., doing business as PressFixer ("Company"), shall provide digital services to the Client (identified by First and Last Name and/or Company Name on the payment processor used to facilitate the financial transaction)

    This Agreement becomes effective on the date that the first payment for services is received by PressFixer.

    1. Scope of Services

    PressFixer offers two categories of services:

    • Subscription Plans (Core, Core+, Concierge)
    • On-Demand Support (Flex Plan)

    Clients agree to the terms that apply to their selected service model.

    A. Subscription Plans

    Clients selecting a subscription-based service plan agree to the following:

    Included in All Subscription Plans

    • Website monitoring and maintenance
    • Access to the task request portal
    • Performance optimization
    • Security monitoring
    • Plugin and theme updates
    • Regular backups

    Task Credits

    • Core and Core+ plans include task credits each month.
    • Concierge clients do not use task credits and may submit unlimited requests, one at a time.
    • Task credits are redeemable only for services listed in PressFixer's Standard Task Menu.
    • Task credits cannot be used for:

      • New website builds
      • Full redesign projects
      • Custom web applications
      • Strategic consulting

    Additional Task Credits

    Available only to Core and Core+ clients:

    • 1 credit – $75
    • 3 credits – $195
    • 5 credits – $297

    Project-Based Services

    • Clients must provide necessary feedback within business days.
    • Monthly task requests must be submitted at least 7 business days before the end of the billing cycle to ensure completion within that period.
    • Delays or overflow work may be billed at $75/hour .

    Project-Based Services

    Clients receiving one-time projects (e.g., full website builds) will receive 30 days of post-launch support, limited to minor edits, fixes, and functional improvements. Beyond this, work is billed at $75/hour.


    B. Flex Plan (On-Demand Support)

    The Flex Plan is a credit-based, no-commitment service model designed for

    • Hack recovery and emergency remediation
    • One-time bug fixes
    • WordPress maintenance
    • Urgent technical changes to existing website

    Payment and Credit

    • Pay-as-you-go; no subscription required.
    • Clients purchase credits as needed::

      • 1 credit – $75
      • 3 credits – $195
      • 5 credits – $297
    • Each credit covers one task from the Standard Task Menu.

    Credit Use and Expiry

    • Credits are non-refundable and expire 90 days after purchase.
    • Expired credits will not be reinstated or refunded.
    • Custom or complex requests may require additional quoting and will be billed at $75/hour upon Client approval.

    Support Process

    • Requests are submitted via standard support channels.
    • The Company will confirm scope and deduct the necessary credits before starting.
    • Flex clients do not receive priority turnaround times.

    No Commitment and Scope

    • Flex is a non-subscription, no-recurring billing service. Clients may purchase and use credits as needed.
    • Flex clients do not receive ongoing technical support, website maintenance, hosting services, or strategic consulting.
    • Services are strictly limited to the specific tasks paid for using valid, active task credits.
    • Any hosting, domain registration, or software-related services must be arranged separately, will be invoiced independently, and are not covered by this Agreement.

    2. Compensation; Payment

    • Subscription plans are billed in advance on a recurring monthly basis.
    • Flex credits are purchased individually and paid upfront.
    • By making a purchase, the Client authorizes payment processing under the selected model.
    • Failed payments are subject to a $45 NSF fee.
    • PressFixer reserves the right to change pricing or terms with 30 days' written notice.

    3. Refunds

    All payments—whether for plans, credits, or custom work—are non-refundable. Clients agree that all sales are final at the time of purchase.


    4. Support and Service Response

    • Active subscription clients receive support via Live Chat, Client Portal, or Email, with a typical response time of 1–2 business days.
    • Flex clients will receive support based on availability and task complexity, without guaranteed turnaround times.

    5. Term; Termination

    • Subscription agreements continue until cancelled by either party with 7 days' written notice.
    • PressFixer may suspend or terminate services immediately for any material breach, including non-payment.

    6. Independent Contractor Status

    PressFixer operates as an independent contractor. No employment, partnership, or joint venture is created through this Agreement.


    7. Confidentiality

    The Company will protect any proprietary or confidential information shared by the Client, except where disclosure is required by law or previously authorized in writing.


    8. Non-solicitation

    The Client agrees not to solicit, recruit, or hire any employee or contractor of PressFixer for a period of one (1) year after the termination of this Agreement.


    9. Intellectual Property

    Work created under this Agreement remains the intellectual property of PressFixer. The Client is granted a non-exclusive, perpetual license to use deliverables for their intended purpose.


    10. Licenses

    The Company may use its own licenses (themes, plugins, tools) to provide services. These remain the property of the Company and may be withdrawn if the Client discontinues service or if tools are no longer used.


    11. Disclaimer of Liability

    To the fullest extent permitted by applicable law, PressFixer is not liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use its Sites and Services. This includes, but is not limited to, loss of data, lost profits, service interruptions, third-party failures, or delays.

    Accessibility Compliance

    PressFixer does not guarantee compliance with the Americans with Disabilities Act (ADA), WCAG guidelines, or any other national or international accessibility regulation or standard.

    We do not provide legal advice, and any implementation of accessibility features or third-party tools should be reviewed by qualified legal professionals. Compliance is the responsibility of the Client and should be discussed with legal counsel.

    If Clients require accessibility features or compliance solutions, third-party tools or custom services may be recommended at additional cost, but these should not be interpreted as guarantees of legal compliance.

    Hosting Services

    PressFixer may provide managed website hosting to clients enrolled in Core, Core+, or Concierge plans as part of their service package. Hosting is subject to availability and may be discontinued at the end of the client’s subscription term or for any other business reason with 30 days' notice.

    While PressFixer follows best practices to ensure uptime and performance, we are not liable for any downtime, data loss, or disruption caused by third-party hosting platforms, cyberattacks, technical outages, or force majeure events.

    Clients are encouraged to maintain regular off-site backups and are responsible for their domain registration and renewal unless otherwise contracted.


    12. Indemnification, Limitation of Liability, and Release of Claims

    The Client agrees to indemnify and hold harmless the Company against any claims arising from use of its services.

    The Company shall not be liable for indirect or consequential damages, including lost profits or project delays.


    13. Notice

    All notices must be delivered in writing via email or mail to the appropriate contacts of both parties.


    14. Governing Law

    This Agreement shall be governed by the laws of the Province of Ontario, and any disputes will be resolved in the Superior Court of Ontario.


    15. Assignment; Delegation

    Clients may not assign this Agreement or delegate responsibilities without prior written consent. Any unauthorized assignment is void.


    16. Entire Agreement

    This Agreement constitutes the full and exclusive agreement between the parties for all PressFixer services, including subscription plans and Flex credits, and supersedes all prior agreements.
